Montana Aerospace Completes Debt-to-Equity Conversion

Successful transaction strengthens the company’s capital structure
and supports its ongoing strategic transformation

Montana Aerospace AG announces the successful completion of its previously announced debt-to-equity conversion, marking a significant milestone in the company’s strategic portfolio transformation into a pure-play aerospace business. As part of this transaction, approximately EUR 65 million of liabilities have been converted into equity at ASCO operations without any dilution for existing Montana Aerospace shareholders. This conversion relates to the so-called “Profit Certificates” assumed by Montana Aerospace AG during the ASCO acquisition in April 2022. The execution of this measure underscores the company’s clear commitment to focusing entirely on its Aerostructures segment and further expanding ASCO’s activities and local footprint.

The timely divestment of the ASTA Group / the former Energy segment directly supported this step. With the conversion completed, the company’s net debt to EBITDA ratio improves significantly, falling at approximately 1.0x, and lays the foundation for achieving a net cash position by year-end 2026.
