Montana Aerospace AG (the “Company”) and its operating subsidiaries (the “Group” or “Montana Aerospace”), a leading, highly-vertically integrated manufacturer and supplier of system components and complex assemblies for the aerospace-, e-mobility- and energy industry with worldwide engineering and manufacturing operations, held its Annual General Meeting (AGM) of shareholders in Zurich, Switzerland, on 21 May 2024.
All of the motions proposed by the Board of Directors were accepted. The AGM approved the Annual Financial Statement, the Single-Entity as well as the Consolidated Financial Statements for the financial year 2023. The balance sheet result will be carried forward and consequently no dividend will be paid out.
Furthermore, the AGM granted discharge to the members of the Board of Directors and the Management Board for their activities in the business year 2023. The AGM further approved the total compensation for the Board of Directors and the Management Board.
The AGM re-elected Michael Tojner and Thomas Williams as Co-Chairmen of the Board of Directors and Christian Hosp, Markus Vischer as well as Helmut WIeser as members of the Board of Directors for a term of office until the end of the next ordinary AGM. Silvia Buchinger did not stand for re-election. Michael Tojner, Thomas Williams and Christian Hosp were re-elected as members of the Nomination and Compensation Committee.
KPMG and the law firm Law Office Keller Ltd. were both confirmed as external auditors and independent proxy, respectively, for another year.
Moreover, the AGM also approved the partial revision of the articles of association (amendment of art. 30 para. 3 regarding compensation of the Group Management Board).
