APPROVAL OF ALL MOTIONS PROPOSED AT THE ANNUAL GENERAL MEETING

 Montana Aerospace AG (the “Company”) and its operating subsidiaries (the “Group” or “Montana Aerospace”), a leading, highly-vertically integrated manufacturer and supplier of system components and complex assemblies for the aerospace, e-mobility and energy industries with worldwide engineering and manufacturing operations, held its Annual General Meeting (AGM) of shareholders in Dubendorf, Switzerland, on 23 May 2023. 

 All of the motions proposed by the Board of Directors were accepted. The AGM approved the Annual Review, the Consolidated Financial Statements and the Statutory accounts for the business year 2022. The balance sheet result will be carried forward and consequently no dividend will be paid out. 

Furthermore, the AGM granted discharge to the members of the Board of Directors and the Management Board for their activities in the business year 2022. The AGM further approved the total compensation for the Board of Directors and the Management Board. 

The AGM re-elected Michael Tojner and Thomas Williams as Co-Chairmen of the Board of Directors and Christian Hosp as well as Markus Vischer and newly elected Silvia Buchinger and Helmut Wieser as members of the Board of Directors for a term of office until the end of the next ordinary AGM. Martin Ohneberg did not stand for re-election. Michael Tojner and Thomas Williams were re-elected and Christian Hosp newly elected as members of the Nomination and Compensation Committee. 

KPMG and the law firm Law Office Keller Ltd. were both confirmed as external auditors and independent proxy, respectively, for another year. 

Moreover, the AGM also approved the partial revision of the articles of association which, among other points, included abolition of the authorized capital through creation of a capital band and further amendments related to the revision of the Swiss corporate law as well as an adjustment of the regulation of compensation and loans to the Board of Directors and the Group Management Board.
